Indoleads Growth Subscription Terms

These Subscription Terms (the “Subscription Terms”) govern the purchase of an Indoleads Growth subscription from Indoleads Platform Sdn. Bhd., a company incorporated in Malaysia (“Indoleads”, “we”, “us”, or “our”), by the person or legal entity purchasing it (“Subscriber”, “you”, or “your”).

These Subscription Terms supplement the Indoleads Advertiser Terms and Conditions, which continue to govern campaigns, conversions and commissions except as set out in these Subscription Terms. In the event of a conflict, these Subscription Terms prevail in relation to the subscription and to the matters covered by Sections 3 to 5, and the Advertiser Terms and Conditions prevail in all other respects.

By ticking the acceptance box in the payment form, completing a subscription payment or using the Service, you confirm that you have read, understood and accepted these Subscription Terms, the Advertiser Terms and Conditions and the Privacy Policy.

The Service is intended for business use. These Subscription Terms are addressed to companies, sole proprietors and other business users, and not to consumers purchasing for personal, family or household purposes.

1 - DEFINITIONS

a) “Service” means the Indoleads Growth subscription: access to the Indoleads platform, the affiliate network and the related services included in the Plan you purchase.
b) “Plan” means the set of features, limits and prices, including the prices of Add-on Services, published on the plans page at indoleads.com/growth.
c) “Billing Period” means one month, starting on the date of the first successful payment and renewing on the corresponding day of each following month.
d) “Fees” means the price of the Plan for one Billing Period.
e) “Billing Portal” means the Stripe customer portal linked on the plans page, through which you can manage payment details and cancel the subscription.
f) “Advertiser Terms” means the Indoleads Advertiser Terms and Conditions published at indoleads.com/advertiser-terms-and-conditions.
g) “Affiliates” means the publishers and affiliates of the Indoleads network who promote Subscriber's offers.
h) “Commissions” means the amounts payable to Affiliates for confirmed actions at the rates set by Subscriber.
i) “Service Fee” means the fee charged by Indoleads on Commissions under Section 3.
j) “Security Deposit” means the amount paid by Subscriber under Section 3(e) to secure payment of Commissions and the Service Fee.
k) “Add-on Services” means the optional paid services described in Section 4.

2 - SUBJECT MATTER

a) Indoleads provides access to the Service in the scope of the Plan purchased, and Subscriber pays the Fees for that access.
b) The Service is deemed provided when access for the relevant Billing Period is made available, irrespective of the extent to which Subscriber actually uses it.
c) The Fees pay for access to the Service only. They are not a guarantee of sales, traffic volume, number of orders, conversion rate or return on investment.
d) Commissions, the Service Fee, the Security Deposit and Add-on Services are not included in the Fees and are payable separately under Sections 3 and 4.
e) Setup, launch and support timelines are those stated for the relevant Plan on the plans page. Placement of Subscriber's offers in external affiliate networks depends on decisions of those third parties and is not guaranteed by Indoleads.

3 - COMMISSIONS, SERVICE FEE AND SECURITY DEPOSIT

a) Subscriber sets the Commission rates for its offers and funds all Commissions in full. Commissions are payable only for actions confirmed in accordance with the Advertiser Terms.
b) Indoleads charges a Service Fee of ten percent (10%) of the Commissions. The Service Fee is charged in addition to the Commissions and is not deducted from the amounts paid to Affiliates.
c) The 10% rate is a launch promotional rate. Indoleads may change it in accordance with Section 6(f).
d) Commissions and the Service Fee are invoiced and payable in accordance with the Advertiser Terms. Indoleads pays Commissions to Affiliates only out of funds received from Subscriber, including the Security Deposit, and is not obliged to pay Commissions from its own funds. The first sentence of Section 9(g) of the Advertiser Terms does not apply to the Service.
e) Before Subscriber's first offer goes live, Subscriber shall pay a Security Deposit of USD 500 on the Launch and Growth Plans and USD 1,000 on the Scale Plan. Where Subscriber moves to a Plan with a higher Security Deposit, Subscriber shall pay the difference.
f) Where Subscriber fails to pay Commissions or the Service Fee when due, Indoleads may apply the Security Deposit, in whole or in part, to pay the Commissions due to Affiliates and the Service Fee. Subscriber shall restore the Security Deposit to its full amount within seven (7) days of notice from Indoleads. Indoleads may pause Subscriber's offers until the Security Deposit is restored.
g) The Security Deposit is not a payment for the Service, is not applied against the Fees and does not bear interest.
h) Upon termination of the subscription, Indoleads shall return the Security Deposit, less any unpaid Commissions, Service Fee and other amounts due from Subscriber, within thirty (30) days after the final validation of the conversions generated before termination.

4 - ADD-ON SERVICES

a) Anti-fraud screening is available for USD 300 per Billing Period on the Launch Plan and USD 500 per Billing Period on the Growth Plan, and is included in the Scale Plan. It is a tool to help Subscriber detect invalid traffic and does not guarantee that all fraudulent or invalid traffic will be detected.
b) Technical integration of the tracking container by Indoleads is charged at a one-time fee of USD 500. The fee is waived on the Launch Plan where Subscriber pays six (6) Billing Periods in advance, and on the Growth and Scale Plans where Subscriber pays three (3) Billing Periods in advance. Where Fees for Billing Periods paid in advance are refunded, the waived integration fee becomes payable and may be deducted from the refund.
c) Other Add-on Services, including the AI Affiliate Manager, external network distribution, additional offers and creatives, are provided at the prices quoted by Indoleads and accepted by Subscriber in writing, including by email, before the work begins.
d) Add-on Services and the Security Deposit may be charged through Stripe together with the Fees or by separate invoice or payment link.

5 - AFFILIATES, CLAIMS AND FRAUD

a) Indoleads provides the network, tracking and payment infrastructure. Indoleads does not manage Affiliates on Subscriber's behalf and does not communicate with Affiliates or resolve their questions, disputes or claims on Subscriber's behalf.
b) Subscriber is solely responsible for its offers, its Commission rates, the validation of conversions, its communications with Affiliates and the resolution of any questions, disputes or claims raised by Affiliates in connection with its offers.
c) Claims received by Indoleads from Affiliates in connection with Subscriber's offers are forwarded to Subscriber for resolution. Communication between Subscriber and an Affiliate solely for the purpose of resolving such a claim does not breach Section 18 of the Advertiser Terms. Subscriber shall not use such communication to solicit or move the Affiliate to a direct or third-party arrangement.
d) Subscriber bears the risk of fraudulent and invalid traffic, whether or not it purchases anti-fraud screening. Subscriber's remedy is to reject the affected conversions in accordance with the Advertiser Terms. Indoleads is not liable to Subscriber for fraudulent or invalid traffic or for its consequences, without prejudice to its right to block Affiliates and to withhold their payouts under the Advertiser Terms.
e) Indoleads has no liability to Subscriber or to Affiliates for Commissions that Subscriber has not funded.

6 - FEES AND PAYMENT

a) The current Plans and their prices are published on the plans page. Prices are stated per Billing Period and in the currency shown at checkout.
b) Payment is made by payment card through Stripe. Indoleads does not receive or store full card details; they are processed by Stripe in accordance with applicable card industry standards.
c) Payment is treated as made when Indoleads receives confirmation of a successful charge from Stripe.
d) The Fees, the Service Fee and the prices of Add-on Services are exclusive of any taxes, duties or levies, which are added where required by applicable law.
e) Promotional codes, where offered, apply on the conditions stated when they are issued, and the discount applies in the amount shown at checkout before payment.
f) Indoleads may change the Fees, the Service Fee rate and the prices of Add-on Services. A change does not affect a Billing Period already paid for and applies to subsequent charges, and Subscriber shall be notified at least thirty (30) days before the change takes effect.

7 - RECURRING PAYMENTS AND CANCELLATION

a) The subscription renews automatically. By ticking the acceptance box in the payment form, Subscriber authorises Indoleads, through Stripe, to charge the Fees to the saved payment method for each Billing Period, on the day corresponding to the date of the first payment, without separate confirmation of each charge.
b) Each charge is made in the amount of the Fees applicable on the date of the charge, taking into account any applicable discount.
c) Subscriber may cancel the subscription at any time through the Billing Portal, or by sending a request to refunds@indoleads.com.
d) Cancellation stops further charges from the next Billing Period, provided it is made before the date of the next charge.
e) After cancellation, access to the Service continues until the end of the Billing Period already paid for.
f) Where a charge cannot be completed, including insufficient funds, an expired or blocked card, Indoleads may suspend access to the Service and retry the charge.

8 - REFUNDS

a) Subscriber may request a refund of the Fees for an unused period where access to the Service was not provided through the fault of Indoleads.
b) In all other cases the Fees are non-refundable, and Subscriber's remedy is cancellation of the subscription with effect from the next Billing Period.
c) Fees for a Billing Period during which access to the Service was provided and the Service was available are not refunded, unless applicable law requires otherwise.
d) Refund requests shall be sent to refunds@indoleads.com, stating the date and amount of the payment. Indoleads shall review a request within ten (10) business days.
e) Approved refunds are made to the original payment method within ten (10) business days of the decision.
f) The return of the Security Deposit is governed by Section 3(h).

9 - OBLIGATIONS OF THE PARTIES

a) Indoleads shall provide access to the Service within one (1) business day of payment, and shall perform setup and launch work within the timelines stated for the Plan.
b) Indoleads may engage third parties in the performance of these Subscription Terms and may carry out scheduled maintenance, giving prior notice where reasonably practicable.
c) Subscriber shall provide accurate information, shall not use the Service for any unlawful purpose, and shall not transfer access to third parties without the prior consent of Indoleads.
d) Subscriber remains responsible for compliance with the Advertiser Terms and with applicable law, including advertising and consumer protection law, in respect of its campaigns, creatives and offers.

10 - SUSPENSION AND TERMINATION

a) Indoleads may suspend or terminate the subscription where Subscriber is in material breach of these Subscription Terms or the Advertiser Terms, where a charge fails, where Subscriber fails to pay Commissions or the Service Fee or to restore the Security Deposit, or where required for legal, regulatory, security or fraud-prevention reasons.
b) Termination of the subscription does not affect amounts due for campaigns under the Advertiser Terms, including Commissions already generated and the Service Fee on them.

11 - LIABILITY

a) Indoleads is not liable for loss of profit or for the consequences of acts of third parties, including Affiliates, external affiliate networks, advertising platforms and payment service providers.
b) The total aggregate liability of Indoleads is limited to the Fees actually paid by Subscriber for the Billing Period in which the event giving rise to liability occurred.
c) Nothing in these Subscription Terms excludes liability that cannot be excluded under applicable law.

12 - PERSONAL DATA

a) By accepting these Subscription Terms, Subscriber consents to the processing of its personal data, including name, email address and payment identifiers, for the purpose of performing this contract.
b) Processing is carried out in accordance with the Privacy Policy published at indoleads.com/privacy-policy.
c) Consent may be withdrawn by sending a request to refunds@indoleads.com. Withdrawal makes further provision of the Service impossible and operates as cancellation of the subscription.
d) Where Indoleads forwards an Affiliate's claim under Section 5(c), Subscriber shall use any personal data of the Affiliate contained in it only to resolve that claim and in accordance with applicable data protection law.

13 - CHANGES TO THESE TERMS

a) Indoleads may amend these Subscription Terms. The current version is published at the link provided at checkout.
b) Changes are notified by email to the address given at checkout, or through the Billing Portal, at least thirty (30) days before they take effect, except where a change is required for legal compliance, security or fraud prevention, in which case it may take effect immediately.
c) Continued use of the Service after a change takes effect constitutes acceptance of the amended Subscription Terms. If Subscriber does not agree, its remedy is to cancel the subscription before the change takes effect.

14 - GOVERNING LAW AND DISPUTE RESOLUTION

a) These Subscription Terms and any non-contractual obligations arising out of or relating to them are governed by the laws of Malaysia.
b) Any dispute, controversy or claim arising out of or relating to these Subscription Terms that cannot be resolved amicably shall be finally resolved by arbitration administered by the Asian International Arbitration Centre (Malaysia) (“AIAC”) in accordance with the AIAC Arbitration Rules in force at the time the arbitration is commenced.
c) The seat of arbitration shall be Kuala Lumpur, Malaysia, the tribunal shall consist of one (1) arbitrator, and the language of the arbitration shall be English.
d) Nothing in this Section prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction.

15 - GENERAL

a) These Subscription Terms, together with the Advertiser Terms and the Privacy Policy, constitute the entire agreement between the parties in relation to the subscription.
b) If any provision is held invalid or unenforceable, it shall be severed and the remaining provisions shall remain in full force.
c) Subscriber may not assign these Subscription Terms without the prior written consent of Indoleads. Indoleads may assign them to an affiliate or to a successor in interest.
d) Notices to Indoleads shall be sent to refunds@indoleads.com for matters concerning payments, cancellation and refunds.
e) These Subscription Terms were last revised on 14 October 2026.
