By joining the Decathlon Affiliate Program, you agree to our terms and conditions below:

These terms and conditions apply solely between Decathlon Philippines Inc., with principal office at L2-2093.1 Level 2 Festival Supermall, Alabang, Muntinlupa City, 1770 Philippines,, hereinafter “Decathlon or We”, and any Decathlon’s Affiliate hereinafter “Affiliate” or “You” who promote Decathlon and generate purchases as an intermediate on our Website www.decathlon.ph (hereinafter “Website”), collectively “the Parties”.

Decathlon’s Affiliation Program (hereinafter “Program”) allows You to promote Decathlon through online properties or profiles you may own. The rewards system is that of a commission structure whereas We pay You a set revenue share of any sales driven in by your traffic, minus refunds and returns. The Program offers marketing tools, creatives, full traffic statistics and a timely payout system.

Decathlon endeavours to ensure that the information on the Website is complete and accurate, the Website may contain errors or inaccuracies. Decathlon reserves the right to correct such errors or inaccuracies and, at any time, to change or update the information on the Website relating to the prices, availability and description of the products offered.

1-  Acceptance. By accessing and using the Program, You signify that you have read, fully understand and agree to be legally bound by this Agreement (hereinafter “Agreement”) and to comply with all applicable laws and regulations (tax regulation included) as they may change from time to time. You acknowledge that this Agreement is a contract between you and Decathlon, even though it is electronic and is not physically signed by you and Decathlon, and it governs your use of the Program though the Platform of our Partner Involve Asia.

If you are using the Program on behalf of a company, business or other legal entity, you agree to this Agreement on behalf of such company, business or other legal entity and you represent and warrant that you have the full authority to agree to this Agreement on behalf of such company, business or other legal entity. In that case, the terms “you” or “your” shall also refer to such entity.

IF YOU DO NOT ACCEPT AND AGREE TO BE LEGALLY BOUND BY AND COMPLY WITH THIS AGREEMENT, YOU ARE NOT PERMITTED TO ACCESS OR USE THE PROGRAM. We suggest you print or download a copy of this Agreement for your records.

2-   Modifications of the Agreement. We may make updates or modification to the Program from time to time. If we make a material change to the Program, we will inform You by sending an email to the notification email address.

3-  Term of the Agreement. This Agreement will go into effect on the date upon which you agree to this Agreement, as set out in section “Acceptance” above, and will continue until terminated as set forth herein.

4-  Your right to terminate. You may terminate this Agreement with us by discontinuing your Affiliate account and discontinuing your use of the Service at any time. You may inform us when you stop using the Service.

5-  Suspension or termination. We may terminate this Agreement or change or suspend any conditions of the Program, any time and for any reason or no reason, without notice and without liability to the Affiliate.

6-  Effect of Termination. Upon termination of this Agreement:

■                   All rights and licenses granted to you will terminate immediately;

■              You will promptly destroy documentation and any other Decathlon’s information in your possession or control that was received under this Agreement; and

■              Unless We agree otherwise in writing or as stated in this Agreement, you must permanently delete all content and other information that you stored pursuant to your use of the Program. We may request that you certify in writing your compliance with this section.

7-  Commission. We pay out a commission in the form of revenue share on each approved sale through our Website. Payment of the commission is made directly by our Partner Involve Asia on behalf of Decathlon within the period of time agreed between You and Involve Asia. We are not responsible for the commission’s payment. In case of conflict concerning the payment itself, the Affiliate should contact Involve Asia.

The commission amount is displayed in the affiliate’s statistics or dashboard found in the Involve Asia platform. This commission rate may change at any time at the sole discretion of Decathlon. 

Decathlon shall have the right to verify purchases and remove refunds or returns. In case of refunds or returns of Decathlon Products, the monthly conversions and the commissions will be reversed and deducted from any amount payable to the Affiliate.

8-  Promotional material and use of Decathlon’s group Brand names.

1. All Decathlon’s promotional material made available to the Affiliate may be used in accordance with this Agreement. It is not permitted to change the promotional material made available by Decathlon. If additional information is published about Decathlon’s by the Affiliate, this must be accurate and truthful. Affiliates are responsible for keeping the information up to date. In particular, the shipping costs, addresses, delivery conditions, etc.
2. During the term of this Agreement, subject to your continued compliance with this Agreement, you may refer to Decathlon solely for purposes of promoting Decathlon’s products and generate purchases on our Website.
3. Restrictions. In using Decathlon Brands, you will not:

• display adult content or promote illegal activities, gambling, or the sale of tobacco or alcohol to persons under the legal age limit;
• have the Decathlon logo as the largest logo in your website;
• use Decathlon Brand to disparage Decathlon;
• display a Decathlon Brand in your website that violate any law or regulation; or
• remove, distort, or alter any element of a Decathlon Brand (including squeezing, stretching, inverting, or discoloring).

9-   Origin of traffic. Affiliates must always truthfully state the URL of the website where the promotional material is placed. If an Affiliate has several websites, they must register each website. Every website must function as a separate traffic source. If you operate in a different way, you can contact cherish.king@decathlon.com. Cloaking links or faking the referrer is explicitly not allowed. It must be clear at all times what the source of the traffic is. This is an essential condition of the Agreement.

10-  Unauthorized traffic & fraud. Direct linking, typosquatting, cookie dropping, deception and other unlawful means of traffic and / or generating and forwarding orders are prohibited. If fraud is detected by Decathlon, all orders are rejected and any commissions paid that were made in the past will be reclaimed. Any additional costs incurred by Decathlon will be recovered from the affiliate.

11-  Activities strictly forbidden.

• Commit any illegal act though the sites;
• Collect personal information of Decathlon’s customers for any other purposes than the performance of the Affiliation program by any means;
• Extract, record or exploit, for purposes other than the performance of the Affiliate program, the contents of third parties subject to intellectual property rights, relating to privacy, personal information or image rights;
• Storing, disseminating or publishing any illegal, harmful, abusive, racist, hateful, revisionist or morality content that violates privacy or violates the privacy rights of others, including the right to persons and property, the intellectual property right or the right to privacy;
• Storing, disseminating or publishing any information that reveals, directly or indirectly, his or her political, philosophical or religious opinions, trade union membership, health status or sexual orientation;
• To store, distribute or publish any content that may directly or indirectly affect the interests or the reputation of Decathlon and the DECATHLON Group.
• In general, the Affiliate agrees to refrain from any behavior contrary to sports ethics or the values (vitality, sincerity, responsibility and generosity) and interests of the DECATHLON Group.

12-  The following restrictions apply. You will not:

A- Protected SEM Bidding Keywords. Keywords that Affiliates are prohibited from bidding on for  search  marketing  campaigns include; decathlon, decathlon.ph, decathlon coupon, decathlon coupon code, decathlon.ph coupon, decathlon.ph coupon code, and any variations including misspellings, alternate spellings, alternate spacing, or any phrases that include these terms.

B- Prohibited SEM Display URL Content. Terms that Affiliates are prohibited from using in the display URLs of search marketing campaigns. Affiliates may not use Decathlon Brand name or domain name, or any variation, similar terms or misspelling of our brand name, as the display domain in any search advertisement.

C- Prohibited SEM Ad Copy Content. Terms that Affiliate are prohibited from using in the ad copy of their search marketing campaigns. Affiliates may not use our brand name or domain name, or any variation, similar terms or misspelling of our brand name copy without our prior approval regardless of the advertising method.

D- Direct linking (Use of Display URL). Affiliates are not allowed to link directly to your Web site from their search marketing campaigns.

E- Special Instructions for Search Marketing Affiliates. These are additional usage instructions or limitations for search marketing. decathlon.ph allows Affiliates to bid on keywords that do not have our protected keywords as noted above. Please add "decathlon", "decathlon.ph", and misspellings as negative keywords for your campaigns to avoid broad matching.

F- Prohibited Website Domain Keywords. Keywords that Affiliate are prohibited from using in the top-level domain of their website. You may not register any domain name that contains our brand name, misspellings of our brand name or variations of our brand name.

G- Coupons and Promotional Codes. Affiliates may only use coupons, promotional codes, promotional messages that are provided exclusively through the Program or directly via an Affiliate Manager of Decathlon.

H- Performance. Each month, the Parties will review the performance indicators, such as (not limited to):

- The traffic directed on the Website.

- The number of new customers directed on the Website.

- The average conversion rate on the Site.

If there is an uncertainty about the source of the traffic or those indicators mentioned above, we have the right to terminate the Agreement without any reason and indemnity to the Affiliate.

Affiliates are fully responsible for the maintenance and proper maintenance of their website and sources including references to the Site.

13-   Representations, Disclaimer of Warranties. Decathlon, its officers, directors, employees, licensors, content providers, service providers, representatives and agents (collectively, "Decathlon Group Representatives") make no representations, provide no warrants, make no warranties, express or implied any conditions, warranties, representations, warranties, commitments or conditions under applicable law or otherwise and do not offer, and may make any warranties with respect to the Website or its contents or the Program, including : (i) an implied warranty or condition of merchantability or fitness for a particular purpose of the products, non-infringement or any implied statement or warranty arising out of the execution or given in the ordinary course of business or according to the usage of the trade ; (ii) the guarantee that the Website or its content will meet the requirements of the Affiliate or will be compatible with the Affiliate's requirements for computers or related equipment or software ; (iii) the guarantee that the Website or its content is accurate, valid, reliable, authentic, current or complete ; or (iv) the guarantee that the Website will continue to be operated or that it will be operated without interruption or error.

In no event, will Decathlon be held responsible for indirect, consequential, incidental or exemplary damages, including but not limited to loss of profits, loss of business, loss of business opportunity, even if such damages are foreseeable and whether or not Decathlon has been advised of the possibility thereof.

Representatives make no representation or warranty that the Website or its content is appropriate or available from any location. Access to the Website from a country in which its content is illegal is prohibited. People who choose to access the Website from a location other than the Philippines do so on their own initiative and are required to comply with local laws.

Decathlon and any Representative shall not be held responsible for any damage or harm that the Affiliate may incur when accessing and / or using the Website, including the presence of viruses or any destructive elements that have infected the Website, unavailability or inoperability of the Website/Program, technical malfunction, computer error, corruption or loss of information, or any damage or disruption of any kind beyond the reasonable control of Decathlon. The Affiliate agrees that neither Decathlon nor the Representatives have any liability in connection with the Website or the Involve Asia Platform or its content to the Affiliate or any other person or entity with respect to any loss or damage and, in particular, any consequential, indirect, punitive, exemplary, consequential or special damages arising from the use of the Website, the Impact Involve Asia Platform or its content or access to them, or relating to them, or any inconvenience, delay or impossibility of access to the Site or Involve Asia Platform or its content, or the content of any related site, or the failure of such a site.

14-   Indemnification. Affiliate shall indemnify and hold harmless Decathlon and its affiliate and subsidiary companies, officers, directors, employees, licensees, successors and assigns, including those licensed or authorized by Decathlon to transmit and distribute products, from any and all liabilities, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable legal fees and costs) arising out of or related to any and all claims sustained in connection with this Agreement due to the negligence, misrepresentation, misuse of the Program or Decathlon’s intellectual property, failure to disclose, intentional misconduct of Affiliate, or any claim related to your online properties and profiles, including but not limited to, the content of such properties.

15-   Force majeure. Neither we nor you will be liable by reason of any failure or delay in the performance of its obligations on account of events beyond the reasonable control of a party, which may include denial-of-service attacks, a failure by a third party hosting provider or utility provider, strikes, shortages, riots, fires, acts of god, terrorism and governmental action.

16-   Survival. When this Agreement comes to an end, those terms that by their nature are intended to continue indefinitely will continue to apply, including but not limited to the following sections: “Termination”, “Representations, Disclaimer of Warranties”, “ Liability”, “Survival” and “no informal waivers”.

17-   Assignment. You may not assign or delegate any rights or obligations under this Agreement, including in connection with a change of control, merger, corporate reorganization, sale of all or substantially all of its assets. Any purported assignment and delegation shall be ineffective. We may freely assign or delegate all rights and obligations under this Agreement, fully or partially without notice to you and upon any such assignment we shall be released from all obligations and liabilities under this Agreement. 

18-  No informal waivers. Our failure to act with respect to a breach of this Agreement by you or others does not waive our right to act with respect to that breach or subsequent similar or other breaches. No representations, statements, consents, waivers or other acts or omissions by any Decathlon affiliate shall be deemed legally binding on any Decathlon affiliate, unless documented in a physical writing hand signed by a duly appointed Legal representative, officer of Decathlon Group. 

19-  Confidentiality. Except as otherwise provided in this Agreement, you agree that all information, including, without limitation, the terms of this Agreement, business and financial information, customer and vendor lists, and pricing and sales information, concerning us or any of our affiliates provided by or on behalf of any of them shall remain strictly confidential. Affiliate shall not use any information obtained from the Program to develop, enhance or operate a service that competes with the Program, or assist another party to do the same.

20-  Notices. We may notify you via the email address associated with your Affiliate account. Legal notices must be sent to the Legal Department of Decathlon Philippines Inc. L2-2093.1 Level 2 Festival Supermall, Alabang, Muntinlupa City. Any notices that you provide without compliance with this Section shall have no legal effect.

21-  Entire agreement. This Agreement constitutes the entire agreement between you and us regarding the Service and supersedes all prior agreements and understandings, whether written or oral, or whether established by custom, practice, policy or precedent, with respect to the subject matter of this Agreement. If a clause or clauses in these terms and conditions are declared to be invalid or void pursuant to any law or regulation or to a decision of a court or administrative authority, the other clauses will continue to have force and effect.

Decathlon reserves the right to amend any terms and conditions under this Agreement at any time without notice  and in its sole discretion. Such an amendment will take direct effect upon posting on the Involve Asia Platform. Affiliate is responsible for reviewing the changes. Affiliate’s continued use of the Involve Asia Platform and Program following the changes shall constitute Affiliate’s acceptance of such changes and if Affiliate does not agree to any changes to this Agreement, Affiliate may discontinue the use of the Involve Asia Platform and Program and terminate the Agreement immediately.

22-   Applicable law - Jurisdiction. These terms and conditions are governed by the laws of the republic of the Philippines and that the competent courts are those located in Makati City.
